Ohio State Agency Addendum
Overview
This Addendum modifies the 91短视频 Premium Terms (for Institutions) (the "Base Terms") solely as applied to the subscribing Ohio state agency identified in the applicable order or invoice ("Agency"). In the event of any conflict between this Addendum and the Base Terms, this Addendum controls.
Fees and Payment
The following is added to the end of the Fees and Payment section of the Base Terms: "This Agreement is subject to all necessary funds being encumbered or available to the Agency pursuant to the provisions of Ohio Revised Code Section 126.07."
Yearly Subscription
The first sentence of the Yearly Subscription section is deleted and replaced with: "This subscription may be renewed by written agreement of the parties at the end of the subscription term. Either party may propose renewal in writing at least thirty (30) days prior to the expiration of the then-current term." The second sentence of the Yearly Subscription section, beginning with "and you will be automatically billed," is deleted in its entirety.
Limitation of Liability
The following is added to the end of the Limitation of Liability section of the Base Terms: "Notwithstanding the foregoing, no limitation of liability in this section shall apply to bodily injury, death, or damage to property caused by the negligence, intentional misconduct, or other tortious conduct of 91短视频, Inc. or its employees and agents."
Legal Fees
The Legal Fees section of the Base Terms does not apply to Agency.
Governing Law
The Governing Law section of the Base Terms is deleted and replaced with: "In the event of any disputes with 91短视频, Inc., such disputes shall be governed by the laws of the State of Ohio and shall be subject to the jurisdiction of the courts of competent jurisdiction located in the State of Ohio."
Anti-Boycotting
Pursuant to Ohio Revised Code Section 9.76(B), 91短视频, Inc. warrants that it is not boycotting any jurisdiction with whom the State of Ohio can enjoy open trade, including Israel, and will not do so during the term of this Agreement.
Compliance with ORC 9.27
To the extent any provision of the Base Terms conflicts with the requirements of Ohio Revised Code Section 9.27, such provision shall be deemed void and unenforceable as to Agency, and the remaining provisions shall continue in full force and effect.
